Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Pencil ("Pencil," "we," or "us") governing your access to and use of the Pencil web application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

• ›You must provide accurate information and keep your account credentials secure.
• ›You are responsible for all activity that occurs under your account.
• ›You must be at least the age of majority in your jurisdiction to use the Service.
• ›Notify us promptly of any unauthorized use of your account.

You agree not to:

• ›Use the Service in violation of any law or the rights of others.
• ›Attempt to gain unauthorized access to the Service or its related systems.
• ›Interfere with or disrupt the integrity or performance of the Service.
• ›Reverse engineer or misuse AI agents or automated features to abuse third-party providers.
• ›Upload malware or content that is unlawful, infringing, or harmful.

You retain ownership of the content you create or upload to the Service ("Your Content"). You grant Pencil a limited license to host, process, and display Your Content solely to operate and provide the Service to you and your organization. You are responsible for Your Content and for having the rights necessary to use it with the Service.

The Service integrates with third-party providers (e.g. Google, GitHub, Slack, Notion) and large language model providers. Your use of those integrations is also subject to the third parties' own terms. AI agents may generate inaccurate or incomplete output; you are responsible for reviewing agent output before relying on it.

Paid plans are billed per seat, and agent/LLM usage is metered against a pre-paid credit wallet, as described on our pricing page. Fees are non-refundable except as required by law. You authorize us and our payment processor to charge your payment method for applicable fees.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases, and we may delete Your Content subject to the retention practices in our Privacy Policy.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, Pencil will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amounts you paid us for the Service in the twelve months preceding the claim.

We may modify the Service or these Terms from time to time. Material changes to these Terms will be indicated by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which Pencil is established, without regard to conflict-of-laws principles, and disputes will be resolved in the courts located there, unless otherwise required by applicable law.
